We offer experienced Luxembourg resident directors providing independent judgement, effective oversight and commercially pragmatic governance.
We help boards strengthen governance, oversee delegated activities and make timely, informed decisions while maintaining robust governance standards and regulatory discipline.
Our directors contribute actively to board deliberations, helping organisations reinforce governance substance, demonstrate Luxembourg as the effective place of management and build confidence among investors, regulators and stakeholders.
By combining independent oversight with commercial responsiveness, we ensure governance supports business rather than delaying it, enabling boards to approve transactions efficiently while fulfilling their fiduciary responsibilities and creating long-term value.
Effective governance depends on directors who combine technical knowledge with sound judgement, independent thinking and practical experience. Today's directors are expected to exercise independent judgement, provide effective oversight, oversee delegated activities, challenge constructively, fulfil their fiduciary duties and demonstrate that decisions are informed, well documented and supported by robust governance processes.
The Board Academy™ bridges the gap between governance theory, regulatory expectations and practical boardroom execution. Combining Luxembourg regulatory requirements, CSSF supervisory priorities, ILA governance principles and international governance best practices, our programmes help directors translate governance into effective day-to-day decision-making.
Designed for boards of directors, investment funds, PSFs, family offices, multinational groups, fund administrators and independent directors, every programme is tailored to the organisation's governance framework, operating model and strategic priorities.
Rather than delivering generic governance training, we build practical boardroom capability, helping directors become more confident, effective and better equipped to lead organisations with accountability.

Why learn with Diderich Consulting?
The Board Academy™ has been developed by Horiana Secara, Founder of Diderich Consulting, a CSSF-approved director with more than 11 years of governance experience in Luxembourg.
Combining a background in law, finance and corporate governance, Horiana brings a multidisciplinary perspective that bridges legal requirements, commercial decision-making and operational execution. This enables directors to understand not only what good governance requires, but how to implement it effectively in practice.
Over the course of her career, Horiana has organised and participated in more than 2,500 board meetings, including over 1,400 meetings as Company Secretary and more than 1,000 meetings as Director, across investment funds, regulated entities and multinational group structures.
Beyond her personal board mandates, Horiana built and led the corporate governance function of a leading Luxembourg fund administrator and coordinated its directorship practice across a large portfolio of entities. This experience provides first-hand insight into board organisation, governance operating models, governance documentation, delegation frameworks and the practical challenges faced by boards, governance teams, fund administrators and regulated entities.
Every programme is built on practical experience rather than theory alone.

Our
brand vision
We believe governance should be a source of trust, not complexity.
As organisations embrace artificial intelligence, AI agents, digital operating models, outsourcing and increasingly distributed business models, governance is evolving faster than ever before. While technology and specialised service providers continue to transform how organisations operate, one principle remains unchanged:
Governance is becoming increasingly distributed, but accountability is not.
Operational responsibilities may be delegated through clearly defined contractual arrangements to qualified service providers acting within their professional and regulatory responsibilities, yet boards remain ultimately accountable for effective governance, sound judgement and stewardship. We believe the organisations that will thrive are those that successfully combine innovation with accountability, efficiency with effective oversight, and technological advancement with responsible leadership.
At Diderich Consulting, we help organisations build governance operating models that are effective, proportionate, scalable and resilient, supported by practical governance tools, performance metrics and independent oversight that enable boards to demonstrate effective governance in practice.
We also believe governance excellence is built by people. Through governance advisory, independent directorships, executive education, mentoring and professional communities, we strengthen governance capability at every level of the organisation and develop the next generation of governance leaders.
Our ambition is simple: to build stronger organisations by strengthening governance and to strengthen governance by developing the people who lead it.
